Terms of Service
These terms are the agreement between you and BotNMe Private Limited ("we", "us"), a company registered in Singapore, for using Pocket Buddy ("Buddy"). By ticking the box to accept these terms, paying, or using Buddy, you agree to them. If you're accepting on behalf of a business, you confirm you're authorised to do so, and "you" means that business.
The short version
- Buddy costs a one-time S$49 activation fee, plus S$28 per month.
- You connect and pay for your own accounts (Anthropic/Claude, WhatsApp Business, Google and so on) directly with those providers.
- If a payment fails, you have 7 days to fix it before Buddy is paused.
- Buddy drafts and suggests; you stay in charge of what gets sent. AI can make mistakes, so check before you approve.
- Singapore law applies.
1. The service
Buddy is an AI assistant that works through WhatsApp. Depending on what you connect, it can draft replies to your WhatsApp messages, triage your Gmail inbox and prepare draft replies, remind you about calendar events, and answer customer questions using documents in a Google Drive folder you choose. The exact features are described on our website and may change over time (see section 12).
Your subscription covers the core Buddy service. We may offer extra features as separate paid add-ons. You never have to buy them, and core Buddy keeps working without them.
2. Your licence to use Buddy
We give you a personal, non-exclusive, non-transferable licence to use Buddy while your subscription is active. You're paying to use the software, not to own it: Buddy, its code, and everything behind it remain ours. You agree not to:
- reverse-engineer Buddy or try to extract its code, prompts, instructions or workflows;
- copy Buddy or build a competing product based on it;
- use Buddy or its outputs to train, test or develop an AI model or service that competes with Buddy; or
- get around any security or access controls, or share your login with anyone outside your business.
3. Your accounts and API keys
Buddy works by connecting to accounts that you own and control:
- Anthropic (Claude): your own API key. It's required for Buddy's AI features.
- WhatsApp Business: your own WhatsApp Business number and account with Meta.
- Google (optional): your Gmail, Google Calendar and Google Drive, each connected separately through Google's own sign-in.
- Google Cloud (optional): your own text-to-speech key, for spoken voice replies.
- Automation platforms such as Zapier (optional): your own account.
These providers bill you directly, and their charges are not included in Buddy's price. That includes Anthropic API usage, Meta's WhatsApp messaging fees, and Google Cloud charges. Your relationship with each provider is governed by its own terms, and providers can change their prices without involving us.
You're responsible for keeping your API keys, passwords and Recovery PIN safe, and for everything done through your accounts. We store your keys encrypted and never display them again. We will never ask you to send us an API key or password: only enter them on your own Buddy setup page. We don't log into your third-party accounts. If you ask us to help configure an automation account such as Zapier, we'll only do what you've asked, with your permission, and you remain responsible for that account and for checking the result.
4. Pricing and payment
- Activation fee: S$49, one-time, charged when you sign up.
- Monthly licence fee: S$28 per month, charged in advance at the start of each billing month.
- Prices are in Singapore dollars. Payments are processed by Stripe, and your subscription renews automatically each month until you cancel.
- We may change our prices with at least 30 days' notice by email. New prices apply from your next billing month after the notice period. If you don't agree, you can cancel before then.
5. Cancelling and refunds
- You can cancel at any time. Buddy keeps working until the end of the month you've already paid for, and you won't be charged again.
- Monthly fees are non-refundable, and we don't give partial refunds for unused time.
- The activation fee is non-refundable once we've started setting up your account.
- Nothing in these terms limits any refund rights you have under Singapore law that can't be excluded.
6. Missed payments and suspension
- 7-day grace period: if a payment fails, we'll let you know. Buddy keeps working for 7 days while you update your payment details.
- Account locked: if payment still hasn't been made after 7 days, your account is locked. Buddy stops working for you. If someone messages your Buddy number, it will only send a short note explaining that your account is paused and how to fix it.
- Getting unlocked: pay the outstanding amount and Buddy is switched back on. Your settings and connections are kept while your account is locked.
- Closure: if your account stays locked and unpaid, we may close it after giving you notice by email. See section 7 for what happens then.
7. Ending the agreement
You can end this agreement by cancelling your subscription. We may suspend or close your account, immediately if necessary, if you seriously breach these terms (including the acceptable use rules in section 9), if required by law, or for non-payment as described in section 6. If we close your account for a breach, fees already paid aren't refunded.
When your account ends, your access stops, your stored API keys and Google tokens are deleted, and we delete or anonymise your personal data as described in our Privacy Policy. We're not obliged to hand over any software, code or infrastructure. Sections 2, 10 and 13 to 17 continue to apply after the agreement ends.
8. How Buddy acts for you
- Confirmation first: Buddy is designed to draft and suggest. Anything that involves a specific date, time, amount, or a message to someone else is shown to you for approval first.
- Email: Buddy only ever creates drafts in your Gmail. It never sends an email. You send drafts yourself.
- WhatsApp: depending on your settings, Buddy may reply automatically to simple, low-risk messages such as greetings. Anything sensitive waits for your approval.
- AI can be wrong: Buddy's drafts and summaries are generated by AI and can be inaccurate, incomplete, or simply made up. Check them before you approve or rely on them. You're responsible for what you approve and send.
- Not professional advice: Buddy doesn't give legal, financial, medical or other professional advice. News headlines it shows are third-party content, shown with their source.
- Your responsibility: you're responsible for making sure your use of Buddy complies with the laws and rules that apply to your business and industry.
9. Acceptable use
You must not use Buddy to:
- do, help with, or promote anything illegal;
- send spam or unsolicited bulk messages;
- send malware or harmful code;
- harass, deceive or harm anyone; or
- break WhatsApp's or Meta's business terms, or the terms of any other service Buddy connects to.
If you do, we may suspend or close your account immediately, without a refund.
10. Your data
Our Privacy Policy explains how we collect, use and protect personal data, including data from your Google accounts, and it forms part of these terms. In short, we use your data only to provide Buddy to you, we don't sell it, and we don't use it for advertising or to train AI models.
When Buddy handles personal data about your customers or contacts (for example, people who message your WhatsApp number), we process it on your behalf as a "data intermediary" under Singapore's PDPA. We keep it secure, tell you without undue delay if a data breach affects it, and delete or return it when your account ends, unless the law requires us to keep it. You are responsible for having the consents and legal basis needed to use Buddy with that data. If a claim arises because you didn't, you agree to cover our resulting losses.
11. Third-party services
Buddy depends on services we don't control, including Meta/WhatsApp, Anthropic, Google, OpenAI, Stripe and our hosting providers. We're not responsible for their availability, performance, policies or price changes. If one of them has an outage or changes its rules, parts of Buddy may stop working until it's resolved.
12. Changes to Buddy
We're always improving Buddy, so we may add, change or remove features. If we're going to discontinue the core service you're paying for, we'll give you reasonable notice first. Features marked beta or early access may be less stable and may change without notice.
13. No guarantees
Buddy is provided "as is" and "as available". Because it relies on AI and third-party services, we can't promise it will always be available, error-free or accurate, or that it will achieve any particular business result. To the extent the law allows, we exclude all warranties not set out in these terms, including implied warranties of merchantability and fitness for a particular purpose.
14. Limitation of liability
- To the extent the law allows, our total liability to you for anything related to Buddy or these terms is limited to the fees you paid us in the 3 months before the event that gave rise to the claim.
- We're not liable for indirect or consequential losses, such as lost profits, lost data, lost business or business interruption.
- Within those limits, we're not liable for losses caused by inaccurate AI output, third-party service outages, or actions you approved.
- Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that can't be limited under Singapore law.
15. Indemnity
You agree to cover us (including our officers, employees and agents) against third-party claims, losses and reasonable legal costs arising from how you use Buddy, from content you send or approve through it, from your breach of these terms, or from your breach of the law or of someone else's rights.
16. Governing law
These terms are governed by the laws of Singapore. Any dispute will be dealt with exclusively by the courts of Singapore, or the Small Claims Tribunals where applicable. Before going to court, please contact us first. Most issues can be sorted out quickly by email.
17. General
- Changes to these terms: we may update these terms. For material changes, we'll give you reasonable notice by email or in Buddy. If you keep using Buddy after the changes take effect, that means you accept them. If you don't agree, you can cancel.
- Force majeure: we're not liable for delays or failures caused by events outside our reasonable control, such as natural disasters, outages at internet or infrastructure providers, or government action.
- Notices: we'll contact you at the email address on your account. You can reach us at the address below.
- Transfer: you can't transfer this agreement without our consent. We may transfer it as part of a merger, acquisition or sale of our business.
- Severability and waiver: if part of these terms is found unenforceable, the rest still applies. If we don't enforce a term straight away, we can still enforce it later.
- Third-party rights: no one other than you and us has any right under the Contracts (Rights of Third Parties) Act 2001 to enforce these terms.
- Entire agreement: these terms, together with the Privacy Policy, are the whole agreement between you and us about Buddy. They replace any earlier terms or discussions.
